1. Agreement
These terms are an agreement between you and Technocrux ("we", "us") covering your use of the WhisperFlow desktop application, the WhisperFlow account and sync service, and anything else we supply with them (together, "WhisperFlow"). By installing, signing in to or using WhisperFlow you accept these terms. If you do not accept them, do not install or use WhisperFlow.
If you obtained WhisperFlow or a subscription through the Microsoft Store, the Microsoft Store Terms of Sale also apply to that transaction. Where they conflict with these terms in respect of the transaction itself, the Microsoft terms govern.
2. Your account
WhisperFlow requires an account. To create one you must:
- be at least 13 years old, or older where the law where you live sets a higher age for consenting to online services;
- give an email address you control, and keep it accurate; and
- keep your password and any two-factor recovery codes to yourself.
You are responsible for activity that happens under your account. Accounts are for one person, do not share credentials. If you believe your account has been compromised, change your password and use sign out everywhere in Settings → Account, then tell us.
We may suspend or close an account that is being used in breach of these terms, that is being used to attack or abuse the service, or where we are required to do so by law.
3. Licence
We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use WhisperFlow on devices you own or control, for personal or internal business purposes, for as long as these terms and (where applicable) your subscription are in force.
4. Trial, subscription and payment
WhisperFlow is free to use for 7 days from first run. After that, continued dictation requires an active subscription.
- Subscriptions are sold and billed through the Microsoft Store. Microsoft is the merchant of record. Price, billing period and taxes are those shown to you at the point of purchase.
- Billing, renewal, cancellation and refunds are handled by Microsoft under the Microsoft Store Terms of Sale and your Microsoft account settings. We cannot process a refund or cancel a subscription on your behalf.
- A subscription renews automatically until you cancel it with Microsoft.
- If a subscription lapses, dictation is paused. Your history, dictionary, snippets and settings remain readable and exportable, and your local data remains yours.
- If we cannot reach the Store to confirm your licence, WhisperFlow deliberately continues to work for a grace period rather than locking you out.
We may change the price of future subscription periods; any change is made through the Store and applies only from your next renewal.
5. What you may not do
You may not:
- sell, rent, lease, sublicense or redistribute WhisperFlow as your own product;
- remove or alter any copyright, trademark or attribution notice;
- reverse engineer, decompile or disassemble WhisperFlow, except to the extent that applicable law expressly permits it despite this restriction;
- use WhisperFlow to record or transcribe anyone without whatever consent the law where you are requires;
- share, resell or circumvent account access or subscription checks;
- attack, overload, probe or attempt unauthorised access to the account and sync service, or use it to store or distribute unlawful content; or
- use WhisperFlow to break the law, or to interfere with or gain unauthorised access to any system.
Section 5 does not restrict rights you hold under the open-source licences described in section 9.
6. What WhisperFlow does on your computer
So that there are no surprises, you acknowledge that in normal operation WhisperFlow:
- installs a system-wide keyboard hook in order to detect your dictation key while other applications have focus;
- records microphone audio while, and only while, the dictation key is held or latched;
- simulates keystrokes and uses the clipboard in order to place the finished text into the application you were using;
- reads the title and owning process of the focused window;
- signs in to your WhisperFlow account and, while signed in, keeps a defined list of settings together with your dictionary and snippets in step across your devices;
- downloads a speech engine and speech model files, at your request, from GitHub and Hugging Face;
- asks Windows whether your account holds a valid subscription; and
- runs, in its signed installer release, with the Windows UI Access privilege, the accessibility mechanism used by screen readers and on-screen keyboards, so that it can type into applications running as administrator. The Microsoft Store build cannot hold that privilege and therefore cannot type into elevated applications.
UI Access is not administrator rights. It does not allow WhisperFlow to modify the system, and WhisperFlow does not request elevation in order to run.
What WhisperFlow does with the information it handles is set out in the Privacy Policy, which forms part of these terms.
7. Your content
Everything you dictate, and every transcript WhisperFlow produces, is yours. We claim no rights in it. Your audio, transcripts and dictation history stay on your device: we never receive them, and cannot access, recover or restore them for you.
Your dictionary entries, snippets, profile details and the synced settings listed in the Privacy Policy are stored on our service so they can reach your other devices. You keep all rights in them. You grant us only the limited permission needed to store them, transmit them to your own devices and back them up as part of operating the service. You are responsible for having the right to store what you put there, and for keeping your own backups of anything you care about.
8. The sync service
The account and sync service is provided on a best-efforts basis. It may be unavailable, interrupted or changed, and we do not promise any particular uptime. It is not a backup service. WhisperFlow is designed to keep working offline when it cannot reach us, and your local copy remains the one you should rely on.
9. Third-party and open-source components
WhisperFlow includes and depends on third-party software, including but not limited to Electron and Node.js (MIT), and, when you choose to install it, whisper.cpp (MIT) and speech models published by their respective authors. Those components are licensed to you under their own terms, which prevail over these terms in respect of those components. Nothing here limits rights granted to you by an open-source licence.
Speech engine and model files are downloaded from third parties, and purchases are handled by Microsoft. We do not control those services, do not warrant their availability, and are not responsible for their content.
10. Accuracy
Speech recognition is imperfect. WhisperFlow will sometimes mishear words, punctuate oddly, or produce text you did not intend, and its cleanup rules may alter wording. Review anything WhisperFlow writes before you rely on it or send it. WhisperFlow is not suitable as the sole method of producing text where an error would be dangerous, legally significant, or otherwise costly, for example medical records, legal filings, financial instructions or safety-critical instructions.
11. Availability and changes
We may update, change or discontinue WhisperFlow, or any of its features, at any time. Where a change would materially reduce what a paid subscription provides, we will give reasonable notice through the app or by email. We are not otherwise obliged to provide support, updates or maintenance.
12. No warranty
To the fullest extent permitted by law, WhisperFlow is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that WhisperFlow will be uninterrupted, error-free, or that it will produce accurate transcriptions.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you. Nothing in these terms excludes or limits your statutory rights as a consumer where those rights cannot lawfully be excluded.
13. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, nor for any loss of profits, revenue, business, data, goodwill or anticipated savings, arising out of or relating to WhisperFlow, however caused and on any theory of liability.
Our total aggregate liability arising out of or relating to WhisperFlow will not exceed the greater of (a) the amount you paid for WhisperFlow in the twelve months before the event giving rise to the claim, or (b) USD 50.
Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited.
14. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from your use of WhisperFlow in breach of these terms or in breach of applicable law, including any claim arising from recording or transcribing a person without the consent their jurisdiction requires.
15. Termination
This licence ends automatically if you breach these terms. You may end it at any time by uninstalling WhisperFlow, and you may delete your account at any time from Settings → Account. Cancelling a subscription is done through the Microsoft Store.
Deleting your account removes the data we hold for you, as described in the Privacy Policy, and leaves the copy on your computer untouched. Sections 7, 9, 10, 12, 13, 14 and 16 survive termination.
16. General
If any provision is held unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to a successor in connection with a merger, acquisition or sale of assets. These terms, together with the Privacy Policy, are the entire agreement between us regarding WhisperFlow, and supersede any prior understanding on the subject.
If you are a consumer, you keep the benefit of any mandatory protections of the law of your country of residence.
